Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Billing Intelligence tool and related dashboards (collectively, the "Services") operated by Auctus Group Consulting, LLC ("Auctus," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

1. Access and Eligibility

The Services are made available to authorized users only. Access is granted by invitation and subject to your organization's agreement with Auctus. You must be at least 18 years of age and authorized to act on behalf of your practice or organization to use the Services.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at help@auctus.tools if you believe your access has been compromised.

The Services are provided for internal planning, billing analysis, and informational purposes only. You may use the Services solely for lawful purposes and in accordance with these Terms. You agree not to:

Important disclaimer: All rate data, benchmarks, and outputs provided through the Services are derived from publicly available CMS fee schedules and are for planning and informational purposes only. They do not constitute billing advice, legal advice, medical coding guidance, or a guarantee of reimbursement. Always verify current rates with the applicable CMS fee schedule and your Medicare Administrative Contractor (MAC) before submitting claims. Auctus makes no warranty, express or implied, regarding the accuracy, completeness, or fitness for any particular purpose of any information provided through the Services.

4. Intellectual Property

The Services, including all software, design, data compilations, and content, are the proprietary property of Auctus Group Consulting, LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Services or their content.

You retain ownership of any data you input into the Services. By inputting data, you grant Auctus a limited, non-exclusive license to process that data solely for the purpose of providing the Services to you.

5. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Auctus does not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected.

To the maximum extent permitted by applicable law, Auctus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use the Services, even if Auctus has been advised of the possibility of such damages. Auctus's total cumulative liability to you for any claims arising under these Terms shall not exceed the amounts paid by you (or your organization) to Auctus in the three months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Auctus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.

7. Termination

Auctus reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 3, 4, 5, 6, and 8) will survive.

8. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

9. Changes to These Terms

Auctus reserves the right to modify these Terms at any time. We will provide notice of material changes via email at least 30 days before the change takes effect. Continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes.
